NOTICE OF SPECIAL GENERAL MEETING

The Wilderness Society (Sydney) Inc will hold a Special General Meeting of its Members in its Registered Office, at Suite 201 46-56 Kippax St Surry Hills NSW 2010, at 4:30pm AEDT Wednesday, 14th December 2022

Special Business of the meeting will be

1. Authority to act:

To consider and if thought fit pass the following resolution as an ordinary resolution:

That, subject to the general meeting called for 4:30pm AEDT, 14th December 2022 passing the special resolution put to the meeting to apply to cancel registration of The Wilderness Society (Sydney) Inc (Incorporation No: Y1389310) Committee Members Glen Klatovsky, Marguerite Pettit and Christopher Murray are authorised to do all things necessary to give effect to the resolution voluntarily to cancel registration of The Wilderness Society (Sydney) Inc and to execute the distribution of surplus property, including executing any required statutory declaration and making necessary applications to the Commissioner for Fair Trading and arranging for the safe keeping of books and registers of The Wilderness Society (Sydney) Inc as required by law.

2. Voluntary cancellation of registration

To consider and if thought fit pass the following resolution as a special resolution:

That application be made for registration of The Wilderness Society (Sydney) Inc (Incorporation No: Y1389310) to be cancelled voluntarily in accordance with section 72 of the Associations Incorporation Act 2009 (NSW) and that, in accordance with rule 42 of the constitution of The Wilderness Society (Sydney) Inc and section 75 of the Associations Incorporation Act 2009, any surplus property of The Wilderness Society (Sydney) Inc, after the return of any surplus property supplied by a government department or public authority to that government department or public authority and the settlement of all debts and liabilities, upon cancellation be distributed to The Wilderness Society Ltd ABN 18 611 229 086 which is a registered charity that meets the requirements of rule 42 of the constitution of The Wilderness Society (Sydney) Inc and section 75 of the Associations Incorporation Act 2009 with such cancellation and distribution to be subject to the approval of the Commissioner for Fair Trading in NSW.

Passing of resolutions:

The special resolution, in relation to voluntary cancellation of registration, requires

  • 21 days’ written notice of the meeting and the intention to propose the special resolution as specified.

  • approval by a majority of at least three-quarters of Members who are present and entitled to vote at the General Meeting

Proxies:

In accordance with section 32, rule 96 of the constitution, Members of the Association shall not be entitled to appoint a proxy.
